1. Scope & Definitions

These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the website, mobile applications, and services operated by Baseraho Private Limited ("Baseraho", "Company", "we", "our", or "us").

By accessing or using our Platform, you agree to be legally bound by these Terms. If you do not agree, you must discontinue using our services.

Platform: The Baseraho website, mobile applications, digital platforms, and any related real estate tech services.
User: Any visitor, property owner, seeker, tenant, buyer, broker, or agent accessing the Platform.
Property Owner: Any individual or entity listing accommodation, flats, rooms, PGs, or commercial space on the Platform.
Property Seeker: Any individual looking for rental, PG, or property purchases through the Platform.
Lead: Enquiry details or contact information of a prospective customer generated through the Platform.

2. Platform Role & Eligibility

Baseraho is a technology-enabled marketplace connecting property owners, seekers, buyers, tenants, and service providers. We act as a facilitation partner to help discover, list, and communicate property-related transactions.

By registering or using our services, you confirm that:

You are legally competent to enter into binding agreements under Indian law.
All registration and profile details you provide are accurate and truthful.
You are solely responsible for keeping your account login details and OTPs secure.

3. Rules of Conduct & Listings

All users agree to interact on the Platform lawfully, honestly, and in good faith. You must comply with the following rules:

Listing Integrity: Property Owners must hold legal rights to list their property. All photos, pricing, amenities, and availability details must be correct and updated.
No Fake Listings: Uploading duplicate, fake, expired, or unauthorized listings is strictly prohibited.
No Data Scraping: Scraping, copying, or commercially exploiting platform data or other users' contact details is banned.
Professionalism: You must not harass, abuse, or send spam to other users.

Baseraho reserves the right to review, reject, suspend, or delete any listing or account that violates these terms without prior notice.

4. Lead Generation & Purchases

Baseraho offers lead purchase and subscription services that provide verified client enquiries. By purchasing leads, you agree that:

Leads are provided solely for genuine property-related communication.
You will not resell, transfer, store, or misuse lead information.
We do not guarantee a specific number of conversions, bookings, or sales from leads.
Once access to a lead or service is delivered, the service fee is non-refundable.

5. Commission & Non-Circumvention

Where Baseraho facilitates a property deal or transaction, commission fees apply as per agreed rates before the service. To protect our business relation:

Users must provide accurate details regarding transaction completion.
Users shall not bypass, hide, or complete introduced transactions off-platform to avoid paying Baseraho commission charges.
Circumvention or intentional fee avoidance will result in immediate service suspension and legal claims for recovery of damages.

6. Post-Introduction Disclaimer

CRITICAL ROLE LIMITATION

Once Baseraho connects a Property Seeker with a Property Owner (or PG owner) and facilitates basic communication, our introduction service is considered complete.

Subsequent actions, including negotiations, property visits, rental agreements, safety checks, deposits, possession, maintenance, and refunds, are solely the responsibility of the concerned parties.

Baseraho is not liable for any disputes, fraud, loss, damages, or breaches arising between parties after the initial introduction. Users are advised to independently verify all documents and property conditions.

7. Intellectual Property

All intellectual property rights associated with the Platform, including design, code, logos, trademarks, database structures, graphics, and features, are exclusively owned by or licensed to Baseraho Private Limited.

Users may not copy, reverse engineer, republish, or use Baseraho branding without our express written permission.

8. Limitation of Liability & Indemnity

To the maximum extent permitted under Indian law:

Baseraho is not responsible for user-submitted content, user misconduct, or property safety/habitability.
We do not provide legal, financial, or valuation advice.
Our maximum liability for any claim established under law is strictly limited to the service fees actually paid by the user to Baseraho for that specific service.

Users agree to indemnify and hold harmless Baseraho Private Limited, its directors, and employees from any claims, losses, or legal costs arising from their violations of these Terms, false listings, or fraudulent actions.

9. Governing Law & Dispute Resolution

This Agreement shall be governed by and interpreted in accordance with the laws of India.

We encourage users to contact customer support to resolve any complaints amicably. If unresolved, any dispute or claim arising from these Terms or Platform services shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English, and proceedings will take place in India. Subject to arbitration, exclusive jurisdiction lies with the courts located in Delhi NCR, India.
